Terms of Service
1. Who we are
These Terms of Service (the “Terms”) are entered into between you and Lumenar Commerce LLC, a limited liability company organised under the laws of the State of New Mexico, United States, with its registered office at 2335 E. Atlantic Blvd, Ste 200, Pompano Beach, FL 33062, United States (“Lumenar Commerce”, “we”, “us” or “our”).
These Terms govern your access to and use of this website and of any online store, checkout, customer account or support channel operated by us (together, the “Services”).
2. Acceptance of these terms
By accessing the Services, placing an order or creating an account, you confirm that you have read, understood and agreed to be bound by these Terms, together with our Privacy Policy, Refund & Return Policy and Shipping Policy, which are incorporated here by reference.
If you do not agree with any part of these Terms, you must not use the Services or place an order.
3. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, and able to form a binding contract in order to purchase from us. If you are purchasing on behalf of a company or other legal entity, you represent that you are authorised to bind that entity to these Terms.
You agree that the information you provide when placing an order is accurate, current and complete, and that you are the authorised holder of the payment method used.
4. Products and availability
We describe our products as accurately as we reasonably can, including materials, dimensions and intended use. Photographs are illustrative; minor variation in colour, finish or packaging may occur, and screen calibration can affect how colours appear.
All products are offered subject to availability. We may limit quantities per customer or per order, and we may discontinue or modify a product at any time without notice.
Products are intended for personal, non-commercial use unless we have agreed otherwise in writing. Resale of our products without authorisation is not permitted.
5. Prices, taxes and currency
Unless stated otherwise on the store you are purchasing from, prices are shown in United States dollars (USD) and exclude shipping charges and applicable taxes, which are calculated and displayed at checkout before you confirm payment.
We may change prices at any time. The price that applies to your order is the price displayed at the moment your order is submitted.
If your order is shipped internationally, import duties, customs charges and local taxes may be levied by the destination country. These charges are set by the local authorities and are your responsibility, unless the checkout expressly states that duties are prepaid.
If your payment card is issued in another currency, your bank may apply its own conversion rate and international transaction fee. We have no control over those charges.
6. Orders and acceptance
Your submission of an order is an offer to purchase. The order confirmation we send on receipt acknowledges that we have received your order; it does not by itself constitute acceptance. The contract is formed when we dispatch the products or otherwise confirm acceptance.
We may refuse or cancel an order, in whole or in part, where: the product is unavailable; the price or description contained an obvious error; we suspect fraud, unauthorised use of a payment method, or a breach of these Terms; delivery to the address is not possible; or fulfilment would breach applicable law, sanctions or the rules of our payment providers.
If we cancel a paid order, we refund the amount charged in full to the original payment method.
7. Payment
Payment is taken at the time of purchase through third-party payment processors that are certified to the applicable PCI-DSS standard. Card details are captured directly by those processors. Lumenar Commerce LLC does not receive or store full payment card numbers.
By submitting payment details, you authorise us and our processor to charge the total amount displayed at checkout, including products, shipping and taxes.
If a payment is declined, reversed or charged back, we may suspend or cancel the related order and any associated account until the matter is resolved. Where a chargeback is raised for a valid order, we will respond with the order, delivery and communication records in our possession.
8. Shipping and delivery
Processing times, shipping methods, delivery estimates and carrier information are set out in our Shipping Policy, which forms part of these Terms.
Delivery estimates are estimates, not guarantees. Once a parcel has been handed to the carrier, transit times depend on the carrier and, for international orders, on customs clearance.
You are responsible for providing a complete and correct delivery address. We are not liable for orders delivered to an address supplied incorrectly, and additional charges may apply to reship an order returned as undeliverable.
9. Returns and refunds
Your return and refund rights are described in our Refund & Return Policy, which forms part of these Terms. Nothing in these Terms limits any statutory right you may have as a consumer that cannot be waived under applicable law.
10. Prohibited use
You agree not to:
- use the Services for any unlawful purpose, or in breach of any applicable export control, sanctions or consumer protection law;
- submit false, misleading or fraudulent information, or use a payment method you are not authorised to use;
- attempt to gain unauthorised access to the Services, any account, or any system or network connected to them;
- interfere with the operation of the Services, including by introducing malware, scraping at a rate that degrades service, or circumventing security or rate-limiting measures;
- resell, reproduce or exploit any part of the Services or their content for commercial purposes without our written permission.
We may suspend or terminate access to the Services, and cancel pending orders, if we reasonably believe this section has been breached.
11. Intellectual property
The Services and their contents — including text, product descriptions, photographs, graphics, logos, page layout and source code — are owned by Lumenar Commerce LLC or its licensors and are protected by copyright, trademark and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable and revocable licence to access and use the Services for your own personal, non-commercial purposes. No other right or licence is granted.
If you believe that content available through the Services infringes your intellectual property rights, contact us with a description of the work, the location of the material and your contact details, and we will investigate promptly.
12. Third-party services
The Services rely on third parties, including e-commerce platforms, payment processors, shipping carriers, analytics providers and email services. Their handling of your information is governed by their own terms and privacy notices.
Links to third-party websites are provided for convenience only. We do not control and are not responsible for their content, products or practices.
13. Disclaimer of warranties
Except where expressly stated in these Terms or required by applicable law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free or free of harmful components, or that any defect will be corrected.
Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, the exclusions above apply only to the extent permitted by law.
14. Limitation of liability
To the maximum extent permitted by applicable law, Lumenar Commerce LLC, its members, officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or in connection with the Services or any product purchased through them.
Our total aggregate liability arising out of or relating to an order will not exceed the amount you actually paid for that order.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.
15. Indemnification
You agree to indemnify and hold harmless Lumenar Commerce LLC and its members, officers, employees and agents from any claim, demand, loss, liability or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.
16. Governing law and disputes
These Terms and any dispute arising from them are governed by the laws of the State of New Mexico, United States, without regard to its conflict of law rules.
The state and federal courts located in the State of New Mexico, United States, will have exclusive jurisdiction, and you consent to their jurisdiction and venue, except where mandatory consumer protection law in your country of residence gives you the right to bring proceedings in your local courts.
Before commencing formal proceedings, we ask that you contact us so that we can attempt to resolve the matter directly. Most issues are resolved this way.
17. Changes to these terms
We may update these Terms from time to time to reflect changes to our business, our products or applicable law. The version in force is the one published on this page, and the effective date shown above is updated accordingly.
The Terms that apply to an order are those in force at the time the order was placed. Continued use of the Services after a change takes effect constitutes acceptance of the revised Terms.
